中机国际招标公司（以下称采购代理机构）受中华人民共和国商务部（以下称采购人）的委托，以公开招标方式选择商务部律师事务所库—贸易壁垒调查与应对子库律师事务所（招标编号：0702-1341CITC5C19)，邀请符合资格条件的律师事务所（以下称投标人）参加投标。
CMC International Tendering Company (hereinafter referred to as “the Procurement Agent”), entrusted by Ministry of Commerce of the People's Republic of China (hereinafter referred to as “the Purchaser”), now invites eligible and qualified law firms (hereinafter referred to as “the Bidder”) to submit sealed bids for selection of law firms’ entry into the Ministry of Commerce’s Candidate List of Law Firms —sub-list for Trade Barrier Investigation and Response (Bid No. : 0702-1341CITC5C19) by public competitive bidding.

二、投标人资格
Qualifications of the Bidder
投标人应当具备下列条件：
The Bidder shall meet the following conditions:
（1） 投标人应为合法注册的律师事务所,港澳台地区注册的律师事务所参加境外律师事务所包的投标；
Bidders shall be legally registered law firms. Law firms registered in Hong Kong SAR, Macao SAR and Taiwan Province should participate in the Package of Foreign Law Firms (barrier);
（2） 具有独立承担民事责任的能力；
Having the ability to independently undertake civil liabilities;
（3） 具有良好的商业信誉和健全的财务会计制度；
Having good business reputation and sound financial and accounting system;
（4） 具有承办委托法律服务事项的团队和能力。
Having a team with the ability to provide the entrusted legal services.
（5） 第1包和第3包投标人应有依法缴纳税收和社会保障资金的良好记录;
Bidders for Package No.1 and 3 shall have a good record of paying taxes and social security funds in accordance with the laws of P. R. China;
（6） 第1包和第2包投标人应具有承担美国337调查案件的业绩, 第3包和第4包投标人应具有境内外贸易壁垒调查案件的业绩;
Bidders for Package No.1 and 2 shall have the performance of undertaking U.S. 337 investigation, and bidders for Package No. 3 and 4 should have the performance of investigation cases of trade barriers;
（7） 已购买本项目招标文件。
Having bought the Bidding Document of this project.
三、招标文件的获取方法
Method of Obtaining the Bidding Document
（1） 本项目招标文件为PDF格式电子文件，投标人可在网上购买下载。
Document is an electronic document in PDF format, which can be purchased by interested Bidders online for download.
（2） 招标文件发售时间：2013年9月18日上午9：00到2013年10月17日下午4:00。（北京时间）
Time Availability of the Bidding Document: starting from 9:00 am September 18, 2013 to 4:00 pm October 17, 2013. (Beijing Time)
（3） 招标文件售价：每包500元人民币（或等值的美元或欧元），售后不退。
The price of the Bidding Document is RMB500:00 yuan (or the equivalent in U.S. Dollars or Euros) per package, which is non-refundable after sale.
（4） 投标人可通过浏览附件1以了解本项目服务要求。如需购买招标文件，可通过银行将标书款电汇至中机国际招标公司账户。

如投标人通过在中国通用招标网（www.china-tender.com.cn）下载的方式获取招标文件， 投标人须在中国通用招标网（www.china-tender.com.cn）注册（注册帮助电话：010-63348126，010-.；联系人：刘青刚、李国梁）。注册完成后，将标书款银行汇款凭证扫描件发电子邮件至houchen@citc.genertec.com.cn。采购代理机构将在收到邮件后12 小时内开通投标人下载招标文件权限。
To download the Bidding Document on “www.china-tender.com.cn”, Bidders should register on “www.china-tender.com.cn”(Register assist Tel.:+ 86 10-63348126，+ 86 10-.;Contact person:Liu Qinggang, Li Guoliang ). After successfully registered， the Bidder should send the scanning copy of Bank Transfer Voucher of the Bidding Document fees to the email address of “houchen@citc.genertec.com.cn”. The Procurement Agent will give the Bidder permission to download the Bidding Document within 12 hours after receipt of the said email.
因中国通用招标网（www.china-tender.com.cn）只有中文界面，第2包和第4包投标人可通过电子邮件方式获取招标文件。投标人须填写“购买标书申请表”(见附件2）并将该表与标书款银行汇款凭证扫描件发电子邮件至houchen@citc.genertec.com.cn以索取本项目招标文件。采购代理机构将在收到邮件后12小时内将招标文件电子版发送给投标人。
As Genertec Bidding Web site (www.china-tender.com.cn) only has the Chinese interface, Bidders for Packages No. 2 and 4 can also obtain the Bidding Document by e-mail. However Bidders must fill out an “Application Form for Purchase of the Bidding Document" (see Annex 2) and the scanned “Application Form for Purchase of the Bidding Document" and bank transfer voucher for the Bidding Document shall be sent by email to houchen@citc.genertec.com.cn for purpose of obtaining the Bidding Document of the project. The Procurement Agent will e-mail the electronic version of the Bidding Document to them within 12 hours after receipt of such an email.
标书款发票可于2013年10月18日起在通用技术大厦一层标书室领取。

四、投标
（1）投标截止时间：2013年10月18日9:30（北京时间）

（2）投标保证金：每包7000元人民币（或等值的美元或欧元）（确定中标人后5个工作日内退还保证金及利息）。银行账户信息同支付标书款的账户信息。投标保证金须在投标截止时间之前提交至中机国际招标公司。
The amount of the Bid Security: RMB 7,000.00 yuan or equivalent of US Dollars or Euros per package(The bid security and its interest will be returned within five working days after Notification of Award is issued).The information of the Bank Account is the same as the account information of the payment for the Bidding Document.
（3）中标服务费：投标人如中标，每包应向采购代理机构缴纳7000元人民币（或等值的美元或欧元）中标服务费。如投标人还在商务部律师库其他子库中标，每包应缴纳5600元人民币。
The bidding service fee: If winning the bid，the Bidder shall pay RMB 7000 yuan or equivalent of US Dollars or Euros per package to the Procurement Agent. If winning other bid in other sub-list of the Ministry of Commerce’s Candidate List of Law Firms, the Bidder shall pay RMB 5600 yuan or equivalent of US Dollars or Euros per package.

第一部分：律所工作事项和内容
Part I: Work Items and Content of Law Firms
在中华人民共和国法律法规允许的范围内，协助提供以下服务：
The law firm shall assist in providing the following services within the scope of the laws of the People's Republic of China:
一、针对美国337调查案件，收集、整理和翻译相关资料，提供包含基本事实判断、法律分析和相关方利益焦点的咨询服务，并出具书面法律意见；研究提出评论意见等。
1. For the case of 337 investigation of the United States, to collect, collate and translate relevant information, provide basic facts containing judgments, legal analysis and consulting services focusing on interests of related parties, and issue a written legal opinion; study and put forward comments.
二、针对美国337调查综合研究事项，提供基本背景情况、法律分析、他国应对策略分析以及应对策略，出具书面报告；研究提出应对策略等。
2. For comprehensive study of the U.S. 337 investigation, to provide basic background information, legal analysis, analysis of other countries' strategies and coping strategies, issue a written report; study and put forward the strategies for response.
三、针对贸易壁垒调查及应对案件，提供有关国家做法、双多边规则合规性分析、贸易影响、产业影响等，并出具书面报告，研究提出应对策略等。
3. For cases of investigation of trade barriers and response, to provide practices of relevant countries, bilateral and multilateral rules compliance analysis, impact on trade and industry, and etc. and issue a written report, study and put forward the strategies for response.
四、针对某一类型或某一国家或某一行业的贸易壁垒从措施描述、涉及产品、对我国内产业利益影响、法律分析、应对策略等层面开展专题研究，提出书面报告等。
4. For a certain type, or a country or an industry trade barrier, to carry out monographic study and provide written reports from the aspects of measures description, involving products, impact on Chinese domestic industry’s interests, legal analysis, and coping strategies and etc.
五、根据需要，就与涉及美国337调查/贸易壁垒调查及应对的其他法律问题提供法律咨询。
5. If necessary, to provide legal consultation in relation to U.S. 337 investigation / trade barriers investigation and other legal issues.
第二部分：律所工作质量要求
Part 2: The Quality Requirements for the Law Firm
一、关于工作内容的要求
The content of the work requirements
（一）精通案件的发展进程，如历史背景、争端解决进程。
Being proficient in the development process of cases, such as the historical background and the dispute settlement process.
（二）精通争端涉及的措施及主要法律问题。
Having good command of the measures and the main legal issues involved in disputes.
（三）能够熟练收集并精通案件事实。
Being able to skillfully collect and master the facts of cases.
（四）每项主要法律主张及其法律推理、分析应全面充分、重点突出、条理清晰、表述精简。
For each main proposition of law analysis and legal reasoning, it should be comprehensive, focused, clear and concisely represented.
（五）精通所涉国际规则的法律分析过程、结论，以及对规则的重要解释、运用等。
Having good command in legal analysis process and conclusion related to the international rules and the important explanation and use of the rules.
（六）能够深入分析案件的意义，如对世贸规则的发展，对国内外贸易可能带来的影响等。
Having the ability to give detailed analysis of the significance of cases, such as potential impact on the development of the rules of WTO, the domestic and foreign trade.
（七）能够基于案件实际情况提出法律建议。
Being capable of putting forward legal suggestions based on the actual situation of cases.
二、关于工作程序的要求The Requirement of the Work Procedures
（一）能够与委托方、其他受托律所（如有）、相关部门等单位密切配合、积极合作。
Able to work closely with the principal, or other law firms entrusted (if any), relevant departments and other units, and have active cooperation with them.
（二）工作积极主动，富有前瞻性、计划性和系统性。
Working in a proactive, forward-looking, planned and systematic manner.
（三）能够将相关工作文件及时梳理、归档并交付委托方。
Able to sort and archive relevant working documents and deliver them to the principal in a timely manner.
第三部分：项目团队要求
The Requirement of the Project Team
一、关于工作能力的要求
Requirements of the Work ability
团队成员数量充足，且具备提供符合工作质量要求的法律服务的专业水准和相关经验。
The number of the team members should be sufficient, and have the professional standards and relevant experience in offering legal service that can meet the quality requirements of such service.
二、关于工作态度的要求
The attitude toward work requirements
团队成员恪尽职守，并保持必要的谨慎和勤勉，严格按工作时限完成工作任务。
The team members should fulfill their duties, and maintain the necessary prudence and diligence, complete the work strictly according to the working time.
